Agreement to Terms

By accessing or using CanadaAccountants.app, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access the service. These terms are governed by Canadian law.

1. Definitions

"Service" or "Platform"

The CanadaAccountants.app website, mobile applications, and all related services provided by CanadaAccountants

"Users"

All individuals and entities using the Platform, including CPAs, businesses, and visitors

"Accountants" or "CPAs"

Licensed accounting professionals in good standing with their provincial CPA body in Canada

"Businesses" or "Clients"

Small and medium enterprises, entrepreneurs, and organizations seeking accounting services

"Content"

All text, graphics, user interfaces, trademarks, logos, sounds, music, artwork, and computer code on the Platform

2. Service Description

What We Provide

CPA Matching Platform: AI-powered technology to connect businesses with qualified accountants based on compatibility factors
Verification Services: CPA credential verification and professional standing confirmation
Communication Tools: Secure messaging and contact facilitation between parties
Profile Management: Professional profiles for accountants and business requirement profiles
Analytics and Reporting: Performance metrics and matching insights

What We Do NOT Provide

Direct Accounting Services: We do not provide accounting, tax, or financial services
Professional Advice: We do not offer accounting, financial, or business advice
Service Guarantees: We do not guarantee the quality or outcome of accounting services
Employment Services: We are not an employment agency or staffing service
Financial Intermediary: We do not handle payments between accountants and clients

3. User Accounts and Registration

Account Requirements

Age Requirement: You must be at least 18 years old to create an account
Accurate Information: You must provide accurate, current, and complete information
Account Security: You are responsible for maintaining the confidentiality of your login credentials
Single Account: Each user may maintain only one active account
Authorized Use: You must be authorized to represent any business or organization you register

Accountant-Specific Requirements

                Valid Designation: Must hold a current CPA designation in good standing with a Canadian provincial or territorial CPA body
Professional Insurance: Must maintain professional liability insurance as required by provincial regulations
Verification Process: Must complete our credential verification process before profile activation
Ongoing Compliance: Must notify us immediately of any changes to professional standing or designation status

            

Account Termination

We reserve the right to terminate or suspend accounts for:

Violation of these Terms of Service
Fraudulent or misleading information
Harmful or abusive behavior toward other users
Non-payment of subscription fees
Legal or regulatory requirements

4. Platform Guarantee

Our 3-Month Guarantee

We guarantee that subscribed accountants will receive at least 3 qualified leads within their first 3 months of active subscription, or we will provide a full refund.

Qualified Lead Definition:

Verified business with legitimate accounting needs
Budget and timeline requirements disclosed
Business size and complexity match accountant's stated capabilities
Initial contact made within 7 days of introduction

Guarantee Conditions:

Accountant must maintain an active, complete profile
Must respond to leads within 48 hours
Must maintain professional communication standards
Subscription must remain active for the full 3-month period

Refund Process: If guarantee conditions are met but not fulfilled, contact our support team within 30 days of the 3-month period for full refund processing.

5. User Responsibilities

All Users Must:

Provide Accurate Information: Ensure all profile and contact information is current and truthful
Maintain Professional Standards: Communicate respectfully and professionally with all platform users
Respect Privacy: Protect confidential information shared by other users
Follow Applicable Laws: Comply with all federal, provincial, and local laws and regulations
Report Issues: Notify us of any technical problems, policy violations, or security concerns

Accountant Additional Responsibilities:

Professional Competence: Only accept engagements within your area of expertise and capability
Timely Response: Respond to client inquiries within 48 hours during business days
Regulatory Compliance: Maintain all required designations, insurance, and professional obligations
Conflict Management: Identify and appropriately manage conflicts of interest
Quality Service: Provide professional accounting services meeting industry standards

Business User Responsibilities:

Accurate Requirements: Provide honest and complete information about accounting needs
Respectful Communication: Maintain professional communication with accountants
Timely Payment: Pay agreed-upon fees to accountants directly and promptly
Information Provision: Provide necessary documentation and access for accounting services
Feedback: Provide honest feedback about accounting services when requested

6. Prohibited Activities

Strictly Prohibited:

False Information: Providing false, misleading, or incomplete information
Impersonation: Misrepresenting your identity, credentials, or business status
Unauthorized Access: Attempting to access other users' accounts or platform systems
Spam or Solicitation: Sending unsolicited communications or promotional materials
Circumvention: Attempting to bypass our matching system or contact users directly without authorization
Harmful Content: Posting or transmitting harmful, offensive, or inappropriate content
System Interference: Disrupting or interfering with platform functionality or security
Data Mining: Extracting user data for unauthorized purposes
Competitive Intelligence: Using the platform to gather information for competing services

Consequences of Prohibited Activities:

Violation of prohibited activities may result in immediate account suspension or termination, legal action, and reporting to relevant professional bodies or authorities.

7. Payment Terms and Subscriptions

Subscription Plans

Monthly Billing: All subscriptions are billed monthly in advance
Payment Methods: We accept major credit cards and other payment methods as indicated
Automatic Renewal: Subscriptions automatically renew unless cancelled before the next billing cycle
Price Changes: We reserve the right to modify pricing with 30 days advance notice
Taxes: Users are responsible for applicable taxes in their jurisdiction

Cancellation and Refunds

                Cancellation: You may cancel your subscription at any time through your account settings
Service Period: Cancelled subscriptions remain active until the end of the current billing period
No Pro-Rating: We do not provide pro-rated refunds for partial months
Guarantee Refund: Full refunds available under our 3-month guarantee (see Section 4)
Processing Time: Refunds are processed within 5-10 business days

            

Platform vs. Accounting Services

Important: CanadaAccountants subscription fees are for platform access only. All accounting service fees are negotiated and paid directly between businesses and accountants. We do not process, hold, or take commission on accounting service payments.

8. Intellectual Property Rights

Our Rights

Platform Ownership: We own all rights to the CanadaAccountants platform, including software, algorithms, and technology
Trademarks: CanadaAccountants name, logo, and related marks are our property
Content: All platform content, design, and functionality are protected by copyright and other laws
Data and Analytics: We retain rights to aggregated, anonymized platform usage data

Your Rights and Licenses

Limited License: We grant you a limited, non-exclusive license to use the platform for its intended purpose
Your Content: You retain ownership of content you create or upload (profiles, messages, etc.)
Content License to Us: You grant us license to use, display, and process your content for platform operation
Feedback: Any feedback or suggestions you provide may be used by us without compensation

Restrictions

You may NOT:

Copy, modify, or reverse engineer any part of the platform
Use our trademarks or branding without written permission
Create derivative works based on our platform
Extract or use our proprietary data or algorithms

9. Privacy and Data Protection

Your privacy is important to us. Our data collection, use, and protection practices are detailed in our Privacy Policy, which is incorporated into these Terms of Service by reference.

PIPEDA Compliance: We comply with Canadian federal privacy legislation
Data Security: We implement appropriate security measures to protect your information
Limited Sharing: We only share information as necessary for platform operation and as disclosed
User Control: You have rights to access, correct, and delete your personal information
Consent: We obtain consent for data processing beyond essential platform functions

Platform-Specific Data Use

To provide matching services, we process and analyze user profile information, preferences, and platform interactions. This processing is essential for platform functionality and is covered by your consent to these Terms of Service.

10. Disclaimers and Limitation of Liability

Important Disclaimers

Platform "As Is": The platform is provided "as is" without warranties of any kind
No Service Guarantees: We do not guarantee the quality, accuracy, or outcome of accounting services
Third Party Actions: We are not responsible for the actions or omissions of accountants or businesses using our platform
Technical Issues: We do not warrant uninterrupted or error-free platform operation
External Links: We are not responsible for content or services provided by third-party websites

Limitation of Liability

To the maximum extent permitted by Canadian law, CanadaAccountants' total liability for any claims arising from or related to the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

We Are NOT Liable For:

Indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunities
Actions or omissions of accountants or businesses using the platform
Quality or outcome of accounting services provided by accountants
Technical problems, interruptions, or data loss
Unauthorized access to your account or information

11. Dispute Resolution

Preferred Resolution Process

Direct Contact: Contact our support team first to resolve any issues or concerns
Informal Resolution: We will work with you in good faith to resolve disputes informally
Mediation: If informal resolution fails, disputes may be referred to mediation
Arbitration: Binding arbitration under Canadian commercial arbitration rules
Court Proceedings: As a last resort, disputes will be resolved in Ontario courts

Governing Law

These Terms of Service are governed by the laws of Ontario, Canada, and federal Canadian law. Any legal proceedings will be conducted in the courts of Ontario.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration, except where prohibited by applicable law.

12. Changes to Terms of Service

We reserve the right to modify these Terms of Service at any time. When we make changes, we will:

Provide Notice: Email notification to registered users at least 30 days before changes take effect
Update Date: Clearly indicate the "Last Updated" date at the top of these terms
Highlight Changes: Provide a summary of material changes when practical
Maintain Access: Keep previous version available for 90 days after changes

Your Options for Changes

If you disagree with changes to these Terms of Service, you may:

Cancel your subscription before changes take effect
Contact us to discuss your concerns
Stop using the platform (constitutes termination of agreement)

Continued use after changes take effect constitutes acceptance of the new terms.
