Agreement to Terms

By accessing or using CanadaAccountants.app, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access the service. These terms are governed by Canadian law.

1. Definitions

"Service" or "Platform"

The CanadaAccountants.app website, mobile applications, and all related services provided by CanadaAccountants

"Users"

All individuals and entities using the Platform, including CPAs, businesses, and visitors

"CPAs"

Chartered Professional Accountants licensed in good standing with provincial accounting bodies in Canada

"Businesses" or "Clients"

Small and medium enterprises, entrepreneurs, and organizations seeking CPA services

"Content"

All text, graphics, user interfaces, trademarks, logos, sounds, music, artwork, and computer code on the Platform

What We Provide

What We Do NOT Provide

  • Direct Accounting Services: We do not provide accounting, tax, or financial services
  • Professional Advice: We do not offer legal, financial, or business advice
  • Service Guarantees: We do not guarantee the quality or outcome of CPA services
  • Employment Services: We are not an employment agency or staffing service
  • Financial Intermediary: We do not handle payments between CPAs and clients

3. User Accounts and Registration

Account Requirements

CPA-Specific Requirements

  • Valid License: Must hold a current CPA license in good standing in a Canadian province or territory
  • Professional Insurance: Must maintain professional liability insurance as required by provincial regulations
  • Verification Process: Must complete our credential verification process before profile activation
  • Ongoing Compliance: Must notify us immediately of any changes to professional standing or license status

We reserve the right to terminate or suspend accounts for:

4. Platform Guarantee

Our 3-Month Guarantee

We guarantee that subscribed CPAs will receive at least 3 qualified leads within their first 3 months of active subscription, or we will provide a full refund.

Qualified Lead Definition:

  • Verified business with legitimate accounting needs
  • Budget and timeline requirements disclosed
  • Business size and complexity match CPA's stated capabilities
  • Initial contact made within 7 days of introduction

Guarantee Conditions:

  • CPA must maintain an active, complete profile
  • Must respond to leads within 48 hours
  • Must maintain professional communication standards
  • Subscription must remain active for the full 3-month period

Refund Process: If guarantee conditions are met but not fulfilled, contact our support team within 30 days of the 3-month period for full refund processing.

6. Prohibited Activities

Strictly Prohibited:

  • False Information: Providing false, misleading, or incomplete information
  • Impersonation: Misrepresenting your identity, credentials, or business status
  • Unauthorized Access: Attempting to access other users' accounts or platform systems
  • Spam or Solicitation: Sending unsolicited communications or promotional materials
  • Circumvention: Attempting to bypass our matching system or contact users directly without authorization
  • Harmful Content: Posting or transmitting harmful, offensive, or inappropriate content
  • System Interference: Disrupting or interfering with platform functionality or security
  • Data Mining: Extracting user data for unauthorized purposes
  • Competitive Intelligence: Using the platform to gather information for competing services

Consequences of Prohibited Activities:

Violation of prohibited activities may result in immediate account suspension or termination, legal action, and reporting to relevant professional bodies or authorities.

7. Payment Terms and Subscriptions

Subscription Plans

Cancellation and Refunds

  • Cancellation: You may cancel your subscription at any time through your account settings
  • Service Period: Cancelled subscriptions remain active until the end of the current billing period
  • No Pro-Rating: We do not provide pro-rated refunds for partial months
  • Guarantee Refund: Full refunds available under our 3-month guarantee (see Section 4)
  • Processing Time: Refunds are processed within 5-10 business days

Platform vs. CPA Services

Important: CanadaAccountants subscription fees are for platform access only. All accounting service fees are negotiated and paid directly between businesses and CPAs. We do not process, hold, or take commission on CPA service payments.

You may NOT:

  • Copy, modify, or reverse engineer any part of the platform
  • Use our trademarks or branding without written permission
  • Create derivative works based on our platform
  • Extract or use our proprietary data or algorithms

Your privacy is important to us. Our data collection, use, and protection practices are detailed in our Privacy Policy, which is incorporated into these Terms of Service by reference.

To provide matching services, we process and analyze user profile information, preferences, and platform interactions. This processing is essential for platform functionality and is covered by your consent to these Terms of Service.

10. Disclaimers and Limitation of Liability

  • Platform "As Is": The platform is provided "as is" without warranties of any kind
  • No Service Guarantees: We do not guarantee the quality, accuracy, or outcome of CPA services
  • Third Party Actions: We are not responsible for the actions or omissions of CPAs or businesses using our platform
  • Technical Issues: We do not warrant uninterrupted or error-free platform operation
  • External Links: We are not responsible for content or services provided by third-party websites

Limitation of Liability

To the maximum extent permitted by Canadian law, CanadaAccountants' total liability for any claims arising from or related to the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

We Are NOT Liable For:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Actions or omissions of CPAs or businesses using the platform
  • Quality or outcome of accounting services provided by CPAs
  • Technical problems, interruptions, or data loss
  • Unauthorized access to your account or information

11. Dispute Resolution

Preferred Resolution Process

  1. Direct Contact: Contact our support team first to resolve any issues or concerns
  2. Informal Resolution: We will work with you in good faith to resolve disputes informally
  3. Mediation: If informal resolution fails, disputes may be referred to mediation
  4. Arbitration: Binding arbitration under Canadian commercial arbitration rules
  5. Court Proceedings: As a last resort, disputes will be resolved in Ontario courts

Governing Law

These Terms of Service are governed by the laws of Ontario, Canada, and federal Canadian law. Any legal proceedings will be conducted in the courts of Ontario.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration, except where prohibited by applicable law.

We reserve the right to modify these Terms of Service at any time. When we make changes, we will:
